1 Acceptance of Terms

By accessing and using the Parallang platform, you ("the User") agree to be bound by these Terms of Service and our Global Privacy and Data Asset Protection Policy. If you do not agree with any provision, you must cease using the platform immediately.

2 Nature of Service and Technology

Parallang provides an advanced document digitalization and assisted machine translation tool.

  • Stochastic Processing: The User acknowledges that the platform operates using Natural Language Processing (NLP) architecture, which is stochastic and non-deterministic by nature. Consequently, Parallang cannot guarantee that the generated output (digitalization or translation) will always be strictly identical or consistent for similar inputs.
  • Project Consistency: To optimize layout and terminological coherence, we recommend processing related documents within the same "Project" in the user interface. However, this improves probability but does not constitute a contractual guarantee of consistency.
  • User Responsibility: Parallang is an assisted tool, not a certified human translation service. The system delivers an editable base file. The User is solely responsible for reviewing the layout, digitalization fidelity, and translation accuracy to ensure it meets their final quality expectations before official use.

3 Intellectual Property Rights

  • User Ownership: The User retains 100% of the Intellectual Property (IP) rights to the original documents uploaded and the final processed outputs downloaded from the platform.
  • Parallang Ownership: Universal Translations Pty Ltd retains all rights, title, and interest in and to the Parallang platform, including its source code, UI/UX design, algorithms, logos, and proprietary workflows. The User may not reverse-engineer, copy, or resell access to the platform.

4 Acceptable Use Policy (AUP)

To ensure a secure environment, the User agrees not to upload:

  • Illegal, highly offensive, or child exploitation material.
  • Classified government documents or strict state secrets (unless authorized by the respective government).
  • Material that infringes on third-party copyrights or stolen intellectual property.
Enforcement: Parallang reserves the right to immediately suspend or terminate accounts that violate this AUP, without the right to a refund.

5 Credits, Billing, and Subscriptions

Platform access is governed by a unit of value called a "Credit." Processing costs 1 credit per page, whether for simple digitalization or the combined digitalization and translation package.

  • Acquisition Systems:
    • Top-Up Credits: Credits purchased on-demand. These credits never expire and remain in the User's account indefinitely while the account is active.
    • Monthly Plans: Subscription-based plans offering discounted rates. These plans renew automatically at the end of each billing cycle (calendar month).
  • Consumption Logic: To maximize financial fairness, the system is designed to always prioritize deducting credits from the Monthly Plan first. Only when Plan credits are exhausted will the system deduct from the non-expiring Top-Up balance.
  • Cancellation: The User may cancel their Monthly Plan at any time. The cancellation will take effect at the end of the current billing cycle.

6 Execution and Refund Policy

  • Service Execution: A credit is considered consumed at the exact moment the system successfully generates and delivers a processed output. Billing is tied strictly to the successful technical execution of the process, regardless of the User's subjective assessment of the final linguistic or formatting quality.
  • Automated Refund Guarantee: Parallang features an automated safeguard system. If the platform experiences a technical failure that prevents the delivery of the processed document, the credits deducted for that specific transaction will be automatically refunded to the User's balance.

7 Service Availability (SLA) and Maintenance

While Parallang leverages industry-leading infrastructure for maximum uptime, the platform is provided on an "as-is" and "as-available" basis. We do not guarantee 100% uninterrupted service. Parallang is not liable for any financial loss or business interruption caused by scheduled maintenance, unexpected downtime, or force majeure events.

8 Limitation of Liability

To the maximum extent permitted by the laws of Queensland, Universal Translations Pty Ltd, its directors, and its infrastructure partners shall not be liable for any indirect, incidental, or consequential damages, loss of profits, or data loss arising from the use of the platform. In all cases, Parallang's maximum liability shall not exceed the total amount paid by the User to Parallang in the twelve (12) months preceding the claim.

9 Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Queensland, Australia. Any legal disputes arising from these Terms or the use of Parallang shall be subject to the exclusive jurisdiction of the state and federal courts located in Brisbane, QLD.
